1. Introduction and Acceptance

These Terms of Use ("Terms") govern your access to and use of the CentreEvents platform (the "Platform"), operated from Gaborone, Botswana ("CentreEvents", "we", "us", "our"). The Platform is available at centre.events and related subdomains and applications.

By creating an account, registering for an event, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

These Terms should be read alongside our Privacy Policy, Cookie Policy, and Disclaimer, each of which forms part of the agreement between you and CentreEvents.

2. Definitions

"Platform" The CentreEvents software-as-a-service application, website, APIs, and all related services.
"Organiser" A person or organisation that creates an account on the Platform to manage, host, or promote events.
"Attendee" A person who registers for, is invited to, or attends an event hosted through the Platform.
"User" Any individual who accesses or uses the Platform, including Organisers, Attendees, and their staff.
"Content" Any information, data, text, images, or other material uploaded, submitted, or generated through the Platform.
"Event Data" Personal information of Attendees collected in connection with an event, including registration, attendance, and communications records.
"Subscription" A paid or unpaid access tier granting use of specified Platform features for a defined period.

3. Account Registration and Security

To access certain features of the Platform, you must register an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at hello@centre.events if you suspect unauthorised use of your account.

One individual may not maintain more than one account without our prior written consent. Accounts are personal and may not be transferred or shared. You must be at least 18 years old to create an account.

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or that have been inactive for more than three years.

4. Platform Services

Subject to your compliance with these Terms and payment of any applicable Subscription fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal event management purposes.

The features available to you depend on your Subscription tier. We reserve the right to modify, suspend, or discontinue any feature or service with reasonable notice where commercially practicable.

The Platform is provided for lawful event management purposes only. You may use the Platform to create, manage, and promote events; collect registrations and payments; communicate with attendees; manage check-in operations; and generate reports. Any use outside these purposes requires our prior written consent.

5. Event Organiser Responsibilities

If you use the Platform as an Organiser, you accept the following responsibilities in addition to the general User obligations in Section 6:

  • Data Controller obligations: You are an independent data controller in respect of Event Data you collect through the Platform. You are responsible for ensuring you have a lawful basis for processing Attendee personal information, providing Attendees with adequate privacy notices, and complying with applicable data protection law, including the Botswana Data Protection Act, 2024. CentreEvents acts as your data processor for Event Data. Where required by law, you agree to enter into a Data Processing Agreement with us.
  • Event content: You are solely responsible for the accuracy, legality, and appropriateness of all event information, descriptions, ticket terms, prices, and any other Content you publish on the Platform.
  • Attendee communications: You are responsible for ensuring that any marketing or promotional communications you send to Attendees through the Platform comply with applicable law, including obtaining any required consent under the Electronic Communications Act and the BDPA.
  • Refunds and cancellations: You are responsible for your own refund and cancellation policies and for communicating them clearly to Attendees. CentreEvents is not a party to any contract between you and your Attendees.
  • Permits and compliance: You are responsible for obtaining all licences, permits, and approvals required for your events.

6. Acceptable Use

You agree not to use the Platform to:

  • Violate any applicable law, regulation, or third-party right
  • Upload or transmit unlawful, harmful, defamatory, obscene, or fraudulent Content
  • Collect personal information from others without lawful basis or their knowledge
  • Send unsolicited commercial communications (spam) to Attendees or contacts
  • Attempt to gain unauthorised access to any part of the Platform or its underlying systems
  • Reverse engineer, decompile, or derive the source code of the Platform
  • Introduce malware, viruses, or other harmful code
  • Use automated means (bots, scrapers) to access the Platform without prior written consent
  • Resell, sublicense, or transfer access to the Platform to third parties without consent
  • Impersonate any person or entity or misrepresent your affiliation
  • Engage in any activity that unreasonably burdens Platform infrastructure

Violation of this Section may result in immediate suspension or termination of your account without prior notice.

7. Intellectual Property

CentreEvents IP: All intellectual property rights in the Platform, including its design, software, trademarks, brand elements, and documentation, are owned by or licensed to CentreEvents. Nothing in these Terms transfers any intellectual property rights to you. You may not copy, reproduce, modify, create derivative works of, or distribute any part of the Platform without our express written consent.

Your Content: You retain all intellectual property rights in the Content you upload or create on the Platform. By submitting Content, you grant CentreEvents a limited, worldwide, royalty-free licence to host, store, display, and transmit your Content solely as necessary to provide the Platform services to you. We do not claim any ownership of your Content.

Feedback: If you provide feedback, suggestions, or ideas about the Platform, you grant us an irrevocable, perpetual, royalty-free licence to use such feedback without any obligation to you.

8. Subscriptions and Payments

Access to paid features of the Platform requires a Subscription. Subscription fees, billing cycles, and included features are as published on our website and in your account settings at the time of subscription.

All fees are exclusive of applicable taxes unless stated otherwise. Fees are non-refundable except as required by law or as expressly stated in writing. We reserve the right to change Subscription pricing with 30 days' notice to existing subscribers.

Failure to pay fees when due may result in suspension of your Subscription. Where payment is made through a third-party payment processor, their terms and conditions apply to the payment transaction.

9. Service Availability

We aim to provide a reliable and available Platform, but we do not guarantee uninterrupted or error-free access. The Platform is provided on an "as available" basis. We may carry out scheduled maintenance (with advance notice where practicable) or may experience unplanned outages due to circumstances beyond our reasonable control.

We are not liable for any loss or damage caused by Platform unavailability, provided we have taken reasonable steps to maintain service continuity.

10. Limitation of Liability

To the fullest extent permitted by Botswana law, CentreEvents and its directors, employees, and agents shall not be liable for:

  • Indirect, incidental, special, or consequential loss or damage
  • Loss of profits, revenue, data, goodwill, or business opportunity
  • Loss or damage arising from your reliance on Content posted by other Users
  • Any act or omission of an event organiser, exhibitor, sponsor, or other third party on the Platform
  • Loss or damage resulting from events beyond our reasonable control (force majeure)

Where liability cannot be excluded by law, our total aggregate liability to you for all claims arising from use of the Platform shall not exceed the total Subscription fees you paid to us in the 12 months preceding the claim, or BWP 5,000, whichever is greater.

Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless CentreEvents and its directors, employees, and agents from and against any claims, liabilities, losses, damages, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform in breach of these Terms; (b) Content you submit or actions you take on the Platform; (c) your violation of any applicable law or third-party right; or (d) your failure to comply with your data controller obligations as an Organiser.

12. Third-Party Services

The Platform integrates with third-party services including database infrastructure, email delivery, and security services (see our Privacy Policy for details). These services are governed by their own terms and privacy policies, which we encourage you to review. CentreEvents is not responsible for the practices of third-party service providers.

The Platform may contain links to external websites or resources. We do not endorse and are not responsible for the content, privacy practices, or terms of any external site.

13. Suspension and Termination

You may close your account at any time by contacting us at hello@centre.events.

We may suspend or terminate your access to the Platform immediately if: (a) you materially breach these Terms; (b) we are required to do so by law; (c) your Subscription is unpaid after a grace period; or (d) we discontinue the Platform or any material part of it.

Upon termination, your right to use the Platform ceases. We will retain your data in accordance with our Privacy Policy and applicable law. Sections 7 (Intellectual Property), 10 (Limitation of Liability), 11 (Indemnification), 14 (Governing Law), and 15 (Disputes) survive termination.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of the revised Terms constitutes acceptance of the changes. If you do not agree to the revised Terms, you must discontinue use of the Platform.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Botswana. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Botswana, with the High Court of Botswana sitting in Gaborone being the court of first instance for disputes that cannot be resolved by negotiation.

Before commencing any formal proceedings, the parties agree to attempt in good faith to resolve any dispute by direct negotiation for a period of not less than 30 days from written notice of the dispute.
